Our finance practice comprises of teams that each specialise in distinct market areas.
- Asset Finance (especially Aviation)
We act for airlines, lessors, aircraft and engine manufacturers including their leasing or finance subsidiaries, banks, private equity and hedge funds in relation to complex domestic, cross-border and multi-jurisdictional aviation finance matters. These market-leading deals involve the securitization, PDP financing and structured financing, purchase, sale and leasing of commercial and private aircraft.

- Structured Finance and Derivatives
We act for investment banks, funds, arrangers and investors on highly complex transactions in the area of securitization, structured credits and derivatives such as credit default swaps and repos. This experience includes advising across a wide range of asset classes, including RMBS, CMBS, auto loans, trade receivables and supply chain finance, whole business securitizations and CLOs. We also advise on refinancing and restructuring schemes particularly in relation to distressed situations and re-financings in the CMBS market.
- Debt Finance
We act for arrangers of cross border syndicated secured and investment grade debt facilities, financial institutions providing bilateral and privately placed/’club’ debt, as well as private equity portfolio companies entering into leveraged facilities or issuing high yield debt.

Our corporate practice is focused on private equity transactions and mergers and acquisitions. We represent corporate buyers and sellers, private equity funds, venture capital investors, growth companies, management teams and portfolio companies. We also have expertise in particular sectors including financial services and insurance, real-estate investment, life sciences, healthcare and consumer products.

Our Investment Management practice acts primarily for alternative investment fund managers, advisers, sponsors and distributors. We advise on the establishment, structure, promotion, regulation and operation of alternative investment funds, principally hedge funds. We regularly represent the founder and seed investors of new managers, and we prepare and negotiate their LLP and shareholders agreements and advise on their tax structuring. A key component of our service involves advising on UK and EU regulations (principally FCA rules and AIFMD, MiFID and other financial services directives and related ESMA guidance). We work closely with our offices in the US to provide US fund formation and regulatory support. We also advise on the structuring, operation, purchase, sale and financing of investment managers and advisers.

Our tax practice advises corporate, institutional, financial, investment management and private clients on UK and international tax aspects of a wide variety of transactions, including acquisitions and divestitures, joint ventures, investments, holding and operational structures, financings and employment matters as well as personal taxation. We have particular expertise in relation to hedge funds, private equity and energy funds and management groups including in the structuring of innovative investment routes for both private managers and large financial institutions.
Bankruptcy & Restructuring
Our restructuring practice handles large and complex European out-of-court financial restructurings, both for debtors and their creditors and we advise on formal in-court reorganizations. We particularly focus on advising opportunistic hedge funds within the distressed investment industry and on complex real estate work-outs, often financed through CMBS and other complex structures.
