Madeleine Tan is a Partner in Kaye Scholer’s Finance group and is Co-Head of the firm’s Project Finance Practice. She has extensive experience advising investors, lenders, sponsors and underwriters in equity investments, capital markets debt offerings, tax-equity and structured finance transactions. Madeleine has been lead counsel on a broad range of transactions including project finance transactions, leveraged leases, single investor leases, capital markets offerings and privately negotiated debt instruments. She is recognized by Chambers Global 2013 as a “Foreign Expert” for USA Capital Markets Securitization and as an “Expert Based Abroad” for Australia Capital Markets.

Derek Stoldt began his practice as a corporate generalist, typically representing private equity funds and their portfolio companies in M&A, securities offerings, joint ventures and other complex contractual transactions. For the past ten years, Derek has focused his practice on representing life sciences and medical technology companies. Derek was named a “Life Sciences Star” in the 2013 edition of Euromoney’s LMG Life Sciences.

Stephen Koval, Co-Chair of the firm’s Corporate Department, concentrates his practice on structuring and negotiating complex business transactions and private equity structures, including public and private mergers, acquisitions, divestitures, carveouts, recapitalizations and workouts. He has substantial experience in public offerings and private placements of debt and equity securities, representing financial institutions and US issuers of all sizes in the United States, and both US and international entities in cross-border offerings. He is also experienced in the restructuring of the debt of financially distressed public and private companies.

Daniel J. Hartnett is a Partner in the Finance Department of Kaye Scholer’s Chicago office, and heads the Chicago office’s Structured Finance Practice. He has extensive experience representing financial institutions, servicers, trustees, issuers and investors in securitization transactions and investment fund transactions, particularly those involving residential and commercial real estate, farm credit loans, synthetic assets and credit default swaps. He has been involved in CDO, CLO, CBO, CFO, mortgage banking, lending, leasing, acquisition, real estate investment trust, real estate mortgage investment conduit, farm credit loan, aviation, trade receivable, tax lien and mutual fund fee, synthetic securitization, and investment fund transactions across the country and around the world. He has worked extensively on restructuring and workout transactions involving residential mortgage loan originators, investment funds, asset-backed commercial paper conduits, synthetic and cash-funded CDOs, CLOs, CFOs, SIVs, market value swaps, credit default swaps, and total return swaps.
