Willys H. Schneider (04/07/14)
Willys Schneider is a Partner at Kaye Scholer, focusing on tax law. Her practice is broad-based, covering tax issues relating to mergers and acquisitions; formation and operation of REITs, partnerships and limited liability companies; structured finance and securitization; formation of private equity funds; and cross-border transactions. Willys also advises a number of charitable and other tax exempt institutions and currently serves on Kaye Scholer’s Pro Bono Committee. Willys is a member of the Board of Directors of each of the International Tax Institute and Poets & Writers. She currently serves as Director of Legal and Tax Information of the Association of Foreign Investors in Real Estate (AFIRE) and is a member of AFIRE’s Executive Committee. She has also served as an Articles Editor of The Tax Lawyer, the quarterly journal of the Section of Taxation of the American Bar Association.
Lawton M. Camp (04/02/14)
Lawton Camp is a Partner in Kaye Scholer’s Finance Department. He has a broad range of structured finance and securitization experience, including representing underwriters and other arrangers, originators and issuers, credit enhancers, and investors in a wide variety of securitizations, structured products and covered bonds. These include securitizations of credit card, trade, lease and consumer finance receivables; auto loans; export credit agency (ECA) loans; commercial and residential mortgages; and emerging market “future flows.” Lawton has also advised on the structuring of collateralized loan obligations, EETCs, catastrophe bonds, cash and synthetic collateralized debt obligations, and various derivative instruments and structured products.

Joel Greenberg is the Senior Corporate Partner and Co-Chair of the Canada Group at Kaye Scholer. He concentrates in U.S. and cross-border mergers and acquisitions of public and private companies, representation of financial sponsors, and securities transactions. He also advises publicly held and private companies on a wide variety of corporate governance and day-to-day corporate as well as transactional matters. He is a former Chair (2006–2009) of the Committee on Mergers & Acquisitions of the American Bar Association Section of Business Law.
Sheryl Gittlitz (03/28/14)
Sheryl Gittlitz is a Partner in the Finance Department, based in the firm’s New York office. Her practice focuses on banking and finance matters. Ms. Gittlitz represents private equity sponsors, companies and financial institutions in the structuring, negotiation and documentation of a broad range of commercial lending transactions, handling matters involving asset-based loans, working capital facilities and acquisition financing. She is also well-versed in debtor-in-possession financings, Chapter 11 exit financings, recapitalizations, restructurings and workouts. In the structured finance area, Ms. Gittlitz has experience with different types of receivables purchase transactions, including trade receivables and healthcare receivables.

Laurie Abramowitz is a Partner and Chair of Kaye Scholer’s Tax Department. She handles all aspects of tax work for corporations, partnerships, high-net-worth individuals and tax-exempt organizations. Her practice is broad-based and involves tax planning for a wide variety of transactions and structuring, negotiating and documenting complex corporate transactions and private equity structures, including mergers, acquisitions and divestitures, reorganizations, financing transactions, private and public debt and equity offerings and restructurings, many of which have international implications.
