Ingrid Kalisch (04/10/14)

Ingrid Kalisch ist Partnerin bei Kaye Scholer mit dem Tätigkeitsschwerpunkt Bank- und Finanzrecht. Sie verfügt über mehr als zwanzig Jahre Erfahrung in der Beratung von Banken und Darlehensnehmern bei deutschen und internationalen Transaktionen im Bereich der Unternehmens- und strukturierten Finanzierungen, einschließlich Akquisitionsfinanzierung, Projektfinanzierung, Immobilienfinanzierung, Schuldscheindarlehen, syndizierten und bilateralen Darlehen wie auch der Restrukturierung dieser Darlehen. Sie hat darüber hinaus sowohl Käufer als auch Verkäufer von notleidenden Krediten beraten. Weiterhin hat sie Erfahrung im Asset Finance, der Exportfinanzierung sowie steuereffizienten und bilanzwirksamen Finanzierungen.

Sandra Pfister ist Partnerin im Finance Department von Kaye Scholer mit dem Tätigkeitsschwerpunkt Bank- und Finanzrecht. Sie berät vorrangig Banken, institutionelle Investoren und Darlehensnehmer bei deutschen und grenzüberschreitenden bilateralen und syndizierten Unternehmens- und strukturierten Finanzierungstransaktionen, einschließlich Akquisitionsfinanzierungen (darunter öffentliche Übernahmen und LBOs), Exportkreditfinan­zierungen, Handelsfinanzierungen, Projektfinanzierungen (schwerpunktmäßig im Bereich Energie & Infrastruktur), Immobilienfinanzierungen, Restrukturierungen und Schuld­scheindarlehen, sowie zu allgemeinen finanzierungs­rechtlichen Fragestellungen. Sandra Pfister verfügt zudem über umfassende Erfahrung im Bereich der internationalen Debt und Equity Capital Markets-Transaktionen, darunter Corporate und High Yield Bonds, LYONs, Wandel- und Umtauschanleihen, IPOs, Dual-Listings (u.a. an der NASDAQ) sowie Bezugsrechts- und Pflichtangebote.

Anna Smith is an Associate in the Finance Department of Kaye Scholer’s New York office. Her practice focuses on commercial lending transactions and asset securitization. She advises financial institutions and corporate lenders in the areas of acquisition financing and structured finance.  

Willys H. Schneider (04/07/14)

Willys Schneider is a Partner at Kaye Scholer, focusing on tax law. Her practice is broad-based, covering tax issues relating to mergers and acquisitions; formation and operation of REITs, partnerships and limited liability companies; structured finance and securitization; formation of private equity funds; and cross-border transactions. Willys also advises a number of charitable and other tax exempt institutions and currently serves on Kaye Scholer’s Pro Bono Committee. Willys is a member of the Board of Directors of each of the International Tax Institute and Poets & Writers. She currently serves as Director of Legal and Tax Information of the Association of Foreign Investors in Real Estate (AFIRE) and is a member of AFIRE’s Executive Committee. She has also served as an Articles Editor of The Tax Lawyer, the quarterly journal of the Section of Taxation of the American Bar Association.

M. Zafar Asghar (04/02/14)

M. Zafar Asghar practices law in the area of aircraft and equipment finance and leasing transactions for U.S. and international companies, banks, leasing companies, hedge funds and private equity funds. His principal area of concentration is on commercial and private jet aircraft transactions.

Lawton M. Camp (04/02/14)

Lawton Camp is a Partner in Kaye Scholer’s Finance Department. He has a broad range of structured finance and securitization experience, including representing underwriters and other arrangers, originators and issuers, credit enhancers, and investors in a wide variety of securitizations, structured products and covered bonds. These include securitizations of credit card, trade, lease and consumer finance receivables; auto loans; export credit agency (ECA) loans; commercial and residential mortgages; and emerging market “future flows.” Lawton has also advised on the structuring of collateralized loan obligations, EETCs, catastrophe bonds, cash and synthetic collateralized debt obligations, and various derivative instruments and structured products.

Michael D. Keenan (03/28/14)

Michael D. Keenan is an Associate in Kaye Scholer’s Finance Department. His practice focuses on securities and corporate finance, with an emphasis on asset-backed securitizations and secured lending involving a range of asset classes, including commercial and residential mortgages, student loans, autos and aircraft. Mr. Keenan is also involved in the workout and restructuring of defaulted loans, and the sale and liquidation of distressed financial assets on behalf of financial institutions.

Sheryl Gittlitz (03/28/14)

Sheryl Gittlitz is a Partner in the Finance Department, based in the firm’s New York office. Her practice focuses on banking and finance matters. Ms. Gittlitz represents private equity sponsors, companies and financial institutions in the structuring, negotiation and documentation of a broad range of commercial lending transactions, handling matters involving asset-based loans, working capital facilities and acquisition financing. She is also well-versed in debtor-in-possession financings, Chapter 11 exit financings, recapitalizations, restructurings and workouts. In the structured finance area, Ms. Gittlitz has experience with different types of receivables purchase transactions, including trade receivables and healthcare receivables.
