Recognized by Legal 500 US as a “vastly experienced” mergers, acquisitions and buyouts lawyer, Mr. Cherney has represented private equity funds in many acquisitions and dispositions of companies in a variety of industries, including: a metal conveyor belt manufacturer; a digital inkjet printer manufacturer; a refrigerator and freezer door supplier; a community newspaper publisher; a vacuum cleaner manufacturer; a refractory ceramic fiber manufacturer; a mining equipment distributor; a steel bridge manufacturer; a supplier of broadcasting trucks and services to networks and other media companies; and a manufacturer of paper and fiber products.
Mr. Cherney has handled many other significant transactions, including: representation of a global information and media company and its subsidiaries in a number of acquisition and joint venture transactions, including a joint venture covering television audience measurement businesses in over thirty countries; a joint venture to develop and provide internet audience measurement data; representation of the Argentine national oil company in a $1.2 billion U.S. oil company acquisition by tender offer and merger; and representation of a luxury car manufacturer in its acquisition by Ford Motor Company.
Mr. Cherney has represented boards of directors and special committees in a number of corporate governance matters including: the outside directors of one of the largest casinos in the world; the outside directors of an independent oil and gas exploration and production company; the Special Committee of the Board of Directors of an international developer, manufacturer and distributor of toys and toy-related products; and a multinational provider of stored electrical solutions.
Mr. Cherney has also represented both issuers and underwriters in public and private securities offerings of various kinds, including equity and high yield debt offerings for both domestic and foreign companies, and a number of SPAC offerings.
