Barry concentrates in capital markets transactions, mergers and acquisitions, bank financings and workout-related matters. He has represented various companies in industries ranging from computers and technology, entertainment, media and telecommunications, manufacturing and retailing, health care and defense and aerospace to investment and commercial banking. Barry also serves as outside securities or general counsel to various public and private companies.

Representation as counsel for the buyers, sellers or lenders in over 100 merger and acquisition transactions and counsel for the issuers or investment banks in over 100 public offerings and private placements, including M&A and finance transactions for Fortune 500 companies, public companies generally and private companies.
- Representation of public companies, audit and special committees in securities compliance and corporate governance matters, including under the Sarbanes-Oxley Act of 2002.
- Representation of foreign private issuers and other non-US companies in cross-border acquisition and finance transactions.
- Recent transactions include representation of special committee of board of directors in $28 billion buy-out of public company, sale of leading specialty newspaper chain and representation of leading toy company in several acquisitions, including contested acquisition in Germany.
- Representation of sovereign nations or commercial banks in refinancings of US-denominated debt, including representation of 700 commercial banks worldwide in offshore bank deposit tranche of $28 billion refinancing of external debt of Brazil; and representations of the Republics of Costa Rica and Panama in various multi-billion-dollar bank refinancings.
