Adam Golden’s practice focuses on mergers and acquisitions, securities offerings, intellectual property licenses, joint ventures and other corporate partnering transactions. He has represented companies in the pharmaceutical and biotechnology, infrastructure, chemicals, consumer products, information technology, healthcare services, medical devices, defense, finance and alternative asset management industries. Mr. Golden’s clients range in size from multibillion-dollar global businesses to emerging-stage companies.

As a lawyer with a background in science, he brings an in-depth understanding of the technology involved in transactions for the benefit of his clients. A particular focus is in the area of life sciences, where he has broad experience in the full range of licensing and collaboration transactions common to this sector.

  • Major international pharmaceutical company in the acquisition of a Phase II/III stage privately held biopharmaceutical company for up to $620 million.

  • Sale of infrastructure engineering and design firm for $626 million.

  • Sale by a specialty pharmaceutical company of its progesterone-related assets and shares of common stock to a global pharmaceutical company for up to $107.5 million plus royalties.

  • International investment bank in the divestiture of a multibillion-dollar portfolio of residential mortgage backed securities.

  • European chemicals company in the acquisition of its U.S. partner’s interest in two polymers joint ventures for $265 million.
