Katherine Mulhern is a Partner in Kaye Scholer’s Corporate Department. She is a New York-qualified and U.K.-qualified capital markets lawyer focusing on international equity and debt capital markets. Ms. Mulhern has a wide range of experience in primary and secondary equity securities issues work both in the U.K. and internationally.

Ms. Mulhern has worked on a series of high-profile insurance-related offerings in recent years, including SEGRO’s placing and open offer in connection with the acquisition of Brixton plc and on its £500 million rights issue; Shaftesbury’s rights issue; and Smurfit Kappa’s initial public offering.

According to the 2010 edition of IFLR1000, “US securities partner Katherine Mulhern is praised by clients for her work,” is listed as a “Recommended” lawyer in “Capital Markets: Foreign Law Advice” (PLC Which Lawyer 2009) and is listed as a legal expert in the “Legal Business Report — 2010.” She is also listed as a “leading individual” in equity capital markets in Chambers UK: A Client’s Guide to the Legal Profession and in The Legal 500 as an expert in U.S. equity capital markets.

Prior to joining Kaye Scholer, Ms. Mulhern was head of the U.S. capital markets practice at Hogan Lovells, before which she was seconded with the equity capital markets group of Bank of America Merrill Lynch.

  • Representation of SEGRO plc as the issuer on its £250 million placing and open offer in connection with the acquisition of Brixton plc; Merrill Lynch International, J.P. Morgan Cazenove and UBS Investment Bank acted as joint bookrunners and joint sponsors.

  • Representation of Shaftesbury plc on its £150 million cash box rights issue.

  • Representation of SEGRO plc on its £500 million cash box rights issue.

  • Representation of JPMorgan Cazenove and Merrill Lynch on a £255 million cash box rights issue by Cookson Group plc.

  • Representation of JPMorgan Cazenove and Merrill Lynch on a £153 million accelerated bookbuilt cashbox placing by Cookson Group plc.

  • Representation for one of the underwriters on Prudential's proposed acquisition of AIA and related rights issue.
