Brian Witkowski counsels clients on executive compensation, employee benefits and employment matters. His experience includes work for Fortune 500 companies, private equity funds, start-ups and individual executives.
In the executive compensation area, Mr. Witkowski advises employers and executives on employment, severance, retention, equity incentive and change in control arrangements and related tax and securities considerations, including Code Section 409A.
Mr. Witkowski’s work in the employee benefits and employment areas includes counseling employers on ERISA, the FLSA, WARN, equal employment opportunity laws, state wage and hour laws, separation agreements, employee handbooks, non-competition agreements and independent contractor agreements.
Mr. Witkowski has advised clients on the human resources aspects of over 200 mergers, acquisitions and divestitures. His involvement includes the negotiation of HR-related provisions in purchase and sale agreements, the design and implementation of acquirer equity incentive arrangements and employment agreements, counseling on employment, benefits and labor transition issues and due diligence planning and review.
