Niping Wu is a partner in the firm’s Shanghai office. Niping’s practice focuses on cross-border mergers and acquisitions, in particular private equity downstream investment in the Asia-Pacific region and strategic investments in relation to Chinese target companies. She is distinguished as a leading private equity lawyer by Chambers Asia, and she is also recognized as a leading practitioner in Private Equity by Expert Guides. Niping regularly acts as counsel to international investors active in China, and she also has extensive experience in representing multinational companies in their direct investments into China.

Niping has also represented clients in capital markets transactions including US public and institutional offerings by Chinese and other non-US issuers. Additionally, she has worked on cross-border financing transactions including syndicated loans, asset-based financings, acquisition financings and vendor financings for clients in Asia, the United States and Latin America.

Niping’s native language is Chinese (Mandarin and Shanghainese), and she is fluent in English.

  • Representation of numerous private equity and other types of funds, including PAG, Orchid Asia, American Securities, Prax Capital, MBK Partners, Mount Kellett, Hony Capital, Steel Partners andAsia Mezzanine Capital, in their investments and divestments in China and other Asian regions.
  • Representation of TPG in numerous transactions, including the US$2.4 billion sale of its interest in Shenzhen Development Bank to Ping An Insurance, its US$800 million investment in Taishin Financial Holding, US$200 million investment in Guanghui Automobile Services, and US$350 million investment (aggregate with a co-investor) in Lenovo (named “M&A Deal of the Year” by International Financial Law Review).
  • Representation of leading private equity funds in credit facilities from major international banks involving significant loan amounts and complicated security arrangements.
  • Representation of Bank of America in its US$3 billion investment in China Construction Bank (named “M&A Deal of the Year” and “China Deal of the Year” by Asian Legal Business); in its financial leasing joint venture with China Construction Bank (the first Sino-foreign joint venture and the largest financial leasing company in China); and in the sale of its retail business in China.
  • Representation of Precision Castparts Corp in its US$350 million investment in Yangzhou Chengde Steel Tube Co.
  • Representation of ArcelorMittal in its various investments and joint ventures in China.
  • Representation of China Life in the US securities law reporting and compliance matters. 
  • Representation of Barclays in its investment in New China Trust Co., a Chinese trust company.
  • Representation of Morgan Stanley, Credit Suisse and the other underwriters in the US$217 million SEC-registered IPO and NASDAQ listing of Perfect World, a Chinese online game developer and operator.
