Palo Alto Corporate Partner Diane Holt Frankle spoke at PLI’s “Acquiring or Selling the Privately Held Company 2012” on May 9, 2012 in San Francisco. Ms. Frankle presented on the drafting and negotiation of the definitive acquisition agreement, and led a mock negotiation of various key terms of the definitive agreement.
The seminar provided an in-depth look into the steps associated with selling and acquiring a variety of companies, from subsidiaries of a large public company to family owned enterprises and large independent corporations. The speakers at the event also presented on negotiating the letter of intent, dealing with sponsors, divisional sales, earnouts, the fiduciary duties of directors and key issues in non-corporate law areas such as tax and intellectual property.
