Stuart Fleet Authors Article on Proposed Reform of U.K. Takeover Regulation in Deal Lawyers

Stuart Fleet, Partner in the Corporate & Finance Department, authored the article “Proposed Reform of U.K. Takeover Regulation” that appeared in the May–June 2011 issue of Deal Lawyers. The article analyzes the consultation paper on proposed amendments to the City Code on Takeovers and Mergers published by the Code Committee of the U.K. Panel on Takeovers and Mergers. This follows a debate triggered by the bid by Kraft Foods Inc., for Cadbury plc, on whether the U.K. takeover rules make it too easy for a hostile bidder to gain control of a U.K. public company. The consultation paper proposes a number of detailed rule changes with a deadline for comments of May 27, 2011.
