Joel Greenberg Contributes to Publications on Negotiating Acquisitions of Public Companies

Senior Corporate Partner Joel Greenberg has contributed to two annotated panel transcripts published by the Penn State Law Review. Both publications began as transcripts of panels in which Joel participated, wherein some of the top M&A practitioners from North America staged interactive “mock negotiations,” stepping out of character frequently to explain key issues and negotiating strategies. The transcripts were then edited heavily by the panelists, who added notes and comprehensive footnotes in order to create teaching tools on negotiating friendly acquisitions of public companies structured as tender offers.

The first publication, “Negotiating Acquisitions of Public Companies in Transactions Structured as Friendly Tender Offers,” is the annotated transcript of a session of the Eighth Annual Institute on Corporate, Securities, and Related Aspects of Mergers and Acquisitions presented by Dickinson School of Law at Penn State and the New York City Bar Association on October 14, 2011. The second, “Negotiating Acquisitions of Public Companies—A Follow-Up,” is the annotated transcript of a session of the Ninth Annual Institute on Corporate, Securities, and Related Aspects of Mergers and Acquisitions presented by Dickinson School of Law at Penn State and the New York City Bar Association on September 21, 2012. The earlier transcript was published in the 2012-2013 symposium issue of the Penn State Law Review: The Deal Lawyers’ Guide to Public and Private Company Acquisitions.
