Kaye Scholer’s Special Situations Credit Trading & Investing team uniquely combines a commercial understanding of your business objectives with a deep knowledge of the legal intricacies of secondary market trading to maximize special situations credit trading opportunities.

Recognized for our excellence in negotiating, documenting and structuring all types of secondary market opportunities, we efficiently and effectively address the potential risks involved in secondary market investing while providing clients with dynamic solutions and the market access they are seeking.

We combine our international reach and global understanding of credit markets with a proficiency in all secondary trading documentation, including those published by the Loan Syndications and Trading Association (LSTA) and the Loan Market Association (LMA) to assist our clients in fulfilling their global business objectives.

In particular, our group’s experience includes:

  • Pre-trade analysis and credit documentation review, including in connection with portfolio transfers and auctions
  • Experience with transfer of claims in most major restructurings
  • Assisting in connection with the transfer of bespoke credit products and advising on regulatory and tax issues

We frequently advise clients in connection with the structuring of CLOs, joint venture acquisitions of financial asset pools, structured repo transactions and other asset-pool-based financings, and we often assist clients in implementing auctions for loans, trade claims and other derivative products.
