Mark Kingsley is a Partner in Kaye Scholer’s Corporate Department. He represents clients in a variety of business transactions, with a particular emphasis on mergers and acquisitions, joint ventures and other public and private equity and debt investments on behalf of private equity funds, financial institutions and other investors. As part of his M&A practice, Mark has represented buyers and sellers of both healthy and financially distressed businesses. His clients invest in a broad range of industries, including real estate and aerospace.

Rory Greiss has extensive experience in the areas of (i) mergers, acquisitions and dispositions of public and private companies representing both purchasers and sellers in widely diverse industries, (ii) leveraged buyout transactions, (iii) public and private equity and debt financings, (iv) corporate restructurings representing companies in bankruptcy proceedings or in "out-of-court" workout situations and (v) dispute resolution among partners and shareholders in closely held partnerships and corporations.

Joel Greenberg is the Senior Corporate Partner and Co-Chair of the Canada Group at Kaye Scholer. He concentrates in U.S. and cross-border mergers and acquisitions of public and private companies, representation of financial sponsors, and securities transactions. He also advises publicly held and private companies on a wide variety of corporate governance and day-to-day corporate as well as transactional matters. He is a former Chair (2006–2009) of the Committee on Mergers & Acquisitions of the American Bar Association Section of Business Law.
Sheryl Gittlitz (03/28/14)
Sheryl Gittlitz is a Partner in the Finance Department, based in the firm’s New York office. Her practice focuses on banking and finance matters. Ms. Gittlitz represents private equity sponsors, companies and financial institutions in the structuring, negotiation and documentation of a broad range of commercial lending transactions, handling matters involving asset-based loans, working capital facilities and acquisition financing. She is also well-versed in debtor-in-possession financings, Chapter 11 exit financings, recapitalizations, restructurings and workouts. In the structured finance area, Ms. Gittlitz has experience with different types of receivables purchase transactions, including trade receivables and healthcare receivables.

Paul Gibson is Counsel in the Corporate Department of Kaye Scholer’s Palo Alto office. Paul’s practice is concentrated in the areas of mergers and acquisitions, corporate governance, technology development and licensing agreements, strategic partnerships and equity and debt financing transactions. He has counseled a broad range of public and private companies in industries ranging from software and semiconductors to petrochemical technology and refinery development and construction. Paul recently spent two years in Japan as principal outside counsel for Sumitomo Chemical Co., Ltd., regarding its involvement in a multi-billion dollar petrochemical refinery expansion in the Middle East, and prior to that was General Counsel for InQuira, Inc., a privately-held software company based in Silicon Valley.
