Ms. Plaxsun has represented lenders, insurance companies, pension funds and fund advisors, private equity and venture capital funds, and both private and public companies (including REITs) in connection with asset purchases and dispositions, development projects, commercial leasing, CMBS loan transactions, secured and mezzanine financings, and the formation of joint ventures, limited partnerships, limited liability companies and other equity sharing and participation arrangements.

Ingrid Kalisch (04/10/14)

Ingrid Kalisch is a Partner and German-qualified corporate finance lawyer in Kaye Scholer’s Frankfurt office. Ms. Kalisch has extensive experience advising both banks and borrowers on a wide range of German and international corporate and structured finance transactions, including acquisition finance, project finance, real estate finance, Schuldschein loans, ECA covered loans, general transactional banking, syndicated and bilateral loan agreements, as well as the restructuring of such transactions. In addition, she has experience in asset-related transactions, and tax efficient and off balance sheet financing. She also advises sellers and purchasers of distressed debt. A particular focus of her practice is on energy and infrastructure, including the financing of wind energy projects, German federal motorway PPP projects, public buildings and healthcare projects.

Sandra Pfister is a Partner and a German-qualified corporate finance lawyer in Kaye Scholer’s Finance group. Sandra has extensive experience advising both banks and borrowers on a wide variety of corporate and structured finance transactions, including acquisition finance (both public bids and leveraged acquisitions), syndicated and bilateral lending, project finance, trade finance (including ECA covered deals), real estate finance, debt restructurings and Schuldschein loans (loan notes), as well as other general banking matters, both cross-border and in Germany. Additionally, her experience includes equity capital/PE financings as well as international debt and equity capital markets transactions such as corporate bond offerings (including high yields, LYONs, convertible and exchangeable bonds), IPOs, dual listings (including on NASDAQ), rights offerings and mandatory bids. July 2013 and recently named one of the year’s “Top Verdicts” by The Daily Journal. Malecek’s work on behalf of client Sequenom Inc., the first company to develop noninvasive prenatal diagnosis methods, was also cited by the publication.

Jeffrey H. Kapner is a Partner in Kaye Scholer’s Real Estate Department. His practice focuses primarily on commercial real estate development and finance. Mr. Kapner’s experience representing both property owners and institutional lenders uniquely positions him to be able to provide pragmatic and balanced advice to his clients.

He has extensive experience representing institutional lenders and investment banks in real estate financing and securitization transactions, including securitized permanent and bridge loan financing and mezzanine debt.
