Eric Decator is counsel in the firm's Chicago office. His practice focuses on the representation of clients in a variety of business transactions and general corporate matters. His experience includes acquisitions and dispositions of public and private companies; venture capital investments; joint ventures; designing, implementing, modifying and reorganizing corporate structures; drafting, reviewing and negotiating contractual arrangements; general counseling; and securities matters. Mr. Decator also represents issuers, borrowers and underwriters in financings, including public offerings and private placements of both equity and debt (both taxable and tax-exempt) securities.

Mr. Decator has been involved in transactions in such diverse industries as corporate training, food and beverage products, apparel, technology, telecommunications, trucking, manufacturing, restaurants, mortgage banking, pension advisory services, collection agencies, and hotels and resorts.

A significant portion of Mr. Decator's practice involves representing clients in the health care industry, including hospitals and other health care facilities, physicians and physician groups, third party payors and manufacturers of pharmaceuticals and medical devices. He regularly advises these clients regarding federal and state fraud and abuse laws, state and federal patient referral prohibitions, the corporate practice of medicine doctrine, state licensure of physicians, nurses, allied health professionals, hospitals and other providers, state certificate of need requirements, hospital/physician relationships, Medicare and Medicaid reimbursement (including conditions of participation) and contracting with managed care entities.

Mr. Decator also assists clients in the acquisition, disposition and operation of colleges, universities and other post-secondary educational institutions.

Mr. Decator served nearly five years as First Assistant Attorney General of the State of Colorado. In this capacity, he represented the State of Colorado and certain of its departments, agencies and instrumentalities, including the Colorado Public Employees Retirement Association, all of the state owned and operated hospitals and health care facilities and a number of Colorado's public colleges, universities and community colleges, in connection with their business activities, contractual arrangements, personnel and tenure matters, investments, issuances of tax-exempt bonds, notes and certificates of participation and employee benefit programs, including the establishment of a self-insured, managed care health program covering all of the employees of the State of Colorado.

Previously, Mr. Decator was the Vice President, Chief Financial Officer and General Counsel of Delmed, Inc. (now a part of Fresenius Medical Care), which at the time was an American Stock Exchange listed manufacturer of pharmaceuticals and medical devices.
