Michael Penney is Counsel in the Corporate Department of Kaye Scholer’s Chicago office.  He advises clients on a broad range of mergers and acquisitions and corporate finance transactions. He has led cross-border and domestic mergers and acquisitions, joint ventures, public equity and debt offerings, private placements, and secured and unsecured credit transactions. He also has significant experience advising on general corporate, securities law and compliance matters. His clients have included international financial institutions, asset managers, specialty finance and business development companies, life science companies and technology companies.

Prior to joining Kaye Scholer, Michael served as General Counsel, Secretary and Chief Compliance Officer at Hercules Technology Growth Capital, Inc., a NYSE-listed business development company, where he was responsible for overseeing portfolio investments, capital markets transactions and general corporate matters.

Michael previously served as Vice President and Senior Counsel at State Street Corporation, where he negotiated and led domestic and cross-border mergers and acquisitions, joint ventures and strategic investment transactions involving asset management, electronic trading, financial technology, asset servicing and custody banking businesses. Michael also led capital markets transactions on behalf of State Street and its affiliates, including offerings of senior notes, junior subordinated debt, preferred depositary shares and common stock.

Prior to State Street, Michael was a member of the corporate practice at WilmerHale.
