Stephen Rutenberg is a partner in the Bankruptcy & Restructuring Department of Kaye Scholer’s New York office. Stephen has experience counseling leading hedge funds, private equity firms and global financial institutions on legal issues related to the purchase and sale of loans and securities of distressed and bankrupt companies, including accounts receivable, trade claims and bank debt, both domestically and in Europe. 

Stephen also assists clients with general mergers and acquisitions and corporate transactions. Recent representations include advising on the purchase, sale and financing of bankruptcy trade claims in several major chapter 11 cases, including Lehman Brothers, AMR Corporation, the Dewey insolvency, and the MF Global and Icelandic bank liquidations.

Admitted to practice in New York and as a solicitor in England and Wales, Stephen has significant experience advising on cross-border bankruptcy matters. He has represented many of the major broker-dealers, investment banks and hedge funds on all aspects of secondary distressed and par loan transactions. He has also counseled clients in the negotiation of total return swaps, credit default swaps and other structures for the purchase and/or financing of loan and claim portfolios as well as other synthetic methods of obtaining exposure to the secondary loan and claims markets. 

Stephen is recognized in the 2016 edition of IFLR1000 as a "Rising Star" for Restructuring and Insolvency.

Prior to joining Kaye Scholer, Stephen was a partner at Sidley Austin.

Representative Experience

  • Representation of the purchase, sale and financing of bankruptcy trade claims in most of the major recent chapter 11 cases, including Lehman Brothers and AMR Corporation as well as the Dewey insolvency and the MF Global and Icelandic bank liquidations.
  • Representation of many of the major broker-dealers, investment banks and hedge funds on all aspects of secondary distressed and par loan transactions, including the analysis and review of loan documentation, security packages, transferability restrictions and the preparation of secondary trading documentation.
  • Experience negotiating total return swaps, credit default swaps and other structures for the purchase and/or financing of loan and claim portfolios as well as other synthetic methods of obtaining exposure to the secondary loan and claims markets.
  • Assistance with the purchase and sale of private notes and other illiquid securities with regard to documentation as well as advising on issues related to the possession of confidential information.
  • Experience with analysis and documentation related to transactions for the purchase and sale of loans, portfolios, NPLs and other assets in multiple emerging market jurisdictions, with a focus on Spain and Eastern Europe.
