Brian counsels clients on a wide array of executive compensation, employee benefits and employment matters.
Brian focuses on the human resources aspects of corporate transactions, including the negotiation of purchase and sale agreements, the design and implementation of acquirer equity incentive arrangements and employment agreements, counseling on employment and labor transition issues and due diligence planning and review.
Brian’s experience in the executive compensation area also includes representing employers and executives in the negotiation of severance, retention and change in control agreements and advising on the tax and securities issues associated with executive compensation programs.
Brian also counsels clients on day-to-day employee benefits issues under ERISA and the Internal Revenue Code, including reporting and disclosure requirements, plan administration, determination letter filings and multiemployer pension plan withdrawal liability issues.
Brian’s experience in the employment area includes counseling clients on compliance with federal and state employment and wage and hour laws and drafting employee handbooks, vacation policies, separation agreements, non-competition agreements and independent contractor agreements.
