Mary Lou Zwick is counsel in the Employee Benefits/ERISA Practice. Her practice focuses on the representation of privately and publicly held companies in all areas of executive compensation and traditional employee benefits (both pension and welfare benefits).
Ms. Zwick advises clients on the design, development and implementation of various equity and non-equity based compensation arrangements and programs, including deferred compensation plans, supplemental retirement arrangements, stock option plans, restricted stock plans, phantom stock plans, employee stock purchase plans, bonus plans and other types of short- and long-term incentive arrangements. She also counsels clients and drafts agreements governing a wide array of employment relationships and issues, including executive employment agreements, protective and confidentiality agreements, independent contractor and consulting agreements, and severance arrangements.
Ms. Zwick also advises clients on the design, implementation, and termination of qualified pension and profit-sharing plans, including negotiations with the Internal Revenue Service and Pension Benefit Guaranty Corporation. She assists and counsels clients on various aspects of welfare benefit plan design and administration, including such areas as HIPAA, COBRA, flexible spending accounts and cafeteria plans.
