James D. Herschlein (03/04/14)
James D. Herschlein serves as Co-Chair of the Complex Commercial Litigation Department and recently completed two terms as a member of the firm’s Executive Committee. He has represented some of the world’s largest companies in numerous trials, arbitrations, mediations and appeals throughout the United States, focusing on complex contractual disputes and product liability litigation. Jim’s trial experience also includes cases involving securities, derivatives, intellectual property, real estate and bankruptcy claims.
Eric P. Marcus (03/03/14)
Eric Marcus is a Partner in the Finance Department of Kaye Scholer’s New York office and a member of the Structured Finance Practice. Eric represents US and international banks, finance companies and other financial institutions in both structured finance transactions and a wide variety of commercial lending transactions, including trade finance and vendor finance programs. In the structured finance area, Eric has set up multi-seller and single-seller asset-backed commercial paper programs, and has experience with many different types of receivables purchase transactions, including trade receivables, auto and equipment loans and leases, dealer floorplan contracts, credit card receivables, franchise loans, commercial loans, and healthcare receivables. He also regularly represents liquidity and credit enhancement providers in securitization transactions. In the commercial finance area, Eric handles asset-based loans, acquisition and leveraged buyout loans, letter of credit facilities, and participation arrangements, and is active in structuring, documenting and negotiating new financing arrangements, as well as negotiating the out-of-court restructuring of problem loans. On the borrowing side, Eric represents companies in the negotiation of their financing arrangements with banks and other lenders.
Diane Holt Frankle (02/28/14)
Diane Frankle represents publicly traded and privately held companies engaged in a wide variety of US and cross-border mergers, acquisitions, change of control transactions, related party transactions, strategic alliances and joint ventures. She regularly advises boards of directors and board committees on fiduciary duties, corporate governance and disclosure issues, crisis management and internal investigations. Diane also represents public companies and management on executive compensation issues. In addition, she represents companies in public and private offerings of equity.

Amy Conway-Hatcher is a Partner in Kaye Scholer’s Complex Commercial Litigation Department, and is head of the White Collar Litigation and Internal Investigations Practice in Washington, DC. Amy’s practice focuses on corporate internal investigations, corporate compliance and defending corporate and individual clients in criminal and civil enforcement matters. She has appeared before the Department of Justice, US Attorneys’ Offices, the Securities and Exchange Commission, the US Commerce Department, the Department of Treasury’s Office of Foreign Assets Control (OFAC), the New York Attorney General’s Office, as well as other federal and state regulators.
Derek Stoldt (02/04/14)
Derek Stoldt began his practice as a corporate generalist, typically representing private equity funds and their portfolio companies in M&A, securities offerings, joint ventures and other complex contractual transactions. For the past ten years, Derek has focused his practice on representing life sciences and medical technology companies. Derek was named a “Life Sciences Star” in the 2013 edition of Euromoney’s LMG Life Sciences.
Sandra Pfister (02/04/14)
Sandra Pfister is a Partner and a German-qualified corporate finance lawyer in Kaye Scholer’s Finance group. Sandra has extensive experience advising both banks and borrowers on a wide variety of corporate and structured finance transactions, including acquisition finance (both public bids and leveraged acquisitions), syndicated and bilateral lending, project finance, real estate finance, debt restructurings and Schuldschein loans (loan notes), as well as other general banking matters, both cross-border and in Germany. Additionally, her experience includes international debt and equity capital markets transactions such as corporate bond offerings (including high yields, LYONs, convertible and exchangeable bonds), IPOs, dual listings (including on NASDAQ), rights offerings and mandatory bids.

Alice Young is Special Counsel and a member of the Corporate Department at Kaye Scholer. She advises multinationals and entrepreneurs on their business activities and investment considerations in the United States and throughout Asia, including complex cross-border transactions and sensitive legal and governmental strategies, and compliance with the Foreign Corrupt Practices Act ("FCPA"). She also assists clients in identifying potential Asian partners and resources. She represents clients in a wide range of disciplines, including joint ventures, partnerships, mergers and acquisitions, finance, trade, foreign ownership issues, regulatory matters, trademark and copyright, employment, tax, private placements, real estate, manufacturing projects, licensing, high technology, telecommunications, retailing, commercial lending, restructurings, and general business negotiations. She has been lead advisor on projects in China, Japan, Hong Kong, Taiwan, Korea, Singapore, Indonesia, India and the Philippines. She has been in private practice for more than thirty-five years.
