- Representation of public companies, audit and special committees in securities compliance and corporate governance matters, including under the Sarbanes-Oxley Act of 2002.
- Representation of foreign private issuers and other non-US companies in cross-border acquisition and finance transactions.
- Recent transactions include representation of special committee of board of directors in $28 billion buy-out of public company, sale of leading specialty newspaper chain and representation of leading toy company in several acquisitions, including contested acquisition in Germany.
- Representation of sovereign nations or commercial banks in refinancings of US-denominated debt, including representation of 700 commercial banks worldwide in offshore bank deposit tranche of $28 billion refinancing of external debt of Brazil; and representations of the Republics of Costa Rica and Panama in various multi-billion-dollar bank refinancings.
