Victoria Gilbert concentrates her practice in commercial law, primarily in the areas of secured lending and private banking. However, Ms. Gilbert's practice is very diverse. She represents banks, finance companies, leasing companies, venture capital investors, insurance companies and borrowers in a wide range of financing transactions and investments, such as acquisition loans, equipment loans, revolving credit facilities, letter of credit and other credit enhancement arrangements, margin loans, derivative contracts, forward purchases, portfolio acquisitions, receivable purchase facilities, mezzanine financing, leases of mining equipment, rolling stock, aircraft, computers and other equipment, the sale and participation of loans, asset securitizations, workouts, recapitalizations, joint ventures, warrants and other contingent compensation arrangements.

She has represented insurance companies seeking premium tax credits in
certified capital company offerings in the states of Louisiana,
Missouri, Alabama and New York. In addition, Ms. Gilbert has written an
article entitled "An Overview of the Certified Capital Company Program:
An Investing Insurance Company's Perspective."
Ms. Gilbert has represented lead banks in connection with large
syndicated credit facilities as well as domestic and foreign banks that
participate in such syndicated facilities. In addition, she has
substantial experience with sports franchise financing, representing
lenders, managing and participating in financings for numerous
professional and minor league sports teams.
Ms. Gilbert also represents developers and lenders in connection with
financing and credit support arrangements for the development of wind
power projects.
