Stewart Herman’s practice is concentrated in commercial- and business-aircraft transactions. He has extensive experience in structuring, drafting and negotiating leasing, sale and financing transactions for aircraft and other asset classes, including tax-based leveraged leases, cross-border leases, portfolio securitizations, predelivery-payment financings, and bankruptcy and workout transactions. He has represented U.S. and international leasing companies, commercial and investment banks, aircraft and engine manufacturers, U.S. and foreign airlines, monoline insurance companies, and hedge funds. His recent transactions include representing equity investors in sale-leasebacks with Asian and European airlines, representing a bank syndicate on a commercial-aircraft warehouse credit facility, representing the equity investor in the workout of leveraged leases of automobile-assembly-line equipment, representing Japanese leasing companies in the restructuring of aircraft leases with distressed carriers, representing a major foreign airline in the negotiation of engine-maintenance-outsourcing agreements, and representing major U.S. companies in purchasing distressed leveraged-lease debt securities.
