William E. Wallace, Jr. focuses his practice on mergers, acquisitions and dispositions of public and private companies, partnership, joint venture and teaming arrangements, corporate restructurings, out-of-court workouts, public and private equity and debt financings, and licensing arrangements.
全部显示Mr. Wallace has substantial experience in negotiating complex business transactions in a wide variety of industries, including radio and television broadcasting, publishing, multimedia, entertainment, financial services, hotels and casinos, textiles, and aerospace and defense.
Mr. Wallace also represents clients in a variety of transactions in the pharmaceutical, biotech and medical devices industries, including acquisitions, dispositions, cross-licensing agreements and settlement agreements arising from patent infringement litigations. He has represented many of the major pharmaceutical companies, as well as a number of smaller development-stage companies.
Mr. Wallace is an experienced corporate counselor, advising companies, boards of directors and board committees on a broad range of issues, including regulatory compliance, corporate governance, compensation issues and conflicts. Mr. Wallace also represents foreign-based individuals and corporations in making investments in the United States, and counseling such clients on corporate and securities law compliance. Mr. Wallace serves on the Corporation Law Committee of the New York City Bar Association.
