Mr. Williams is Special Counsel in the New York office of Kaye Scholer’s Finance Department. He advises clients with regard to corporate, banking and securities law questions, including matters relating to the regulation of US and non-US banks and other lending institutions by federal and New York State authorities, bank lending documentation, the law of secured transactions, the regulation of broker-dealers and investment companies, and corporate governance and periodic reporting under the securities laws. Some of the more specific kinds of matters as to which Mr. Williams advises clients are the treatment of private equity investments, proprietary trading and hedging under the Volcker Rule, issues that may arise in connection with a determination that a company is systemically important, the structuring and documenting of private equity investments to accommodate the requirements of the Volcker Rule, capital and liquidity requirements, public disclosure of bank regulatory risk factors under the securities laws, and control under the Bank Holding Company Act.
