Bari Zahn is a member of the Tax Department, and focuses her practice on strategic tax planning of diverse U.S. and cross-border transactions, including stock and asset acquisitions, tax-free mergers, recapitalizations and similar corporate reorganizations. Ms. Zahn also advises non-U.S. clients on investing in U.S. real estate through REITs, securitization vehicles and similar tax-efficient trust structures. Ms. Zahn has recently been involved in representing state and federal instrumentalities of the Canadian government in the acquisition and disposition of U.S. real properties through the use of tax-efficient REIT structures, representing a Canadian operator of convenience stores on various U.S. federal income tax issues related to its acquisition of a U.S. convenience-store chain, including the earning-stripping rules and state property transfer tax issues, and representing one of the world’s largest gold mining companies on U.S. federal income tax issues in a share-for-share exchange and tax-free merger, including the utilization of intermediate holding company structures, Section 367 outbound transfers and passive foreign investment company status issues.
全部显示Ms. Zahn also has published several articles discussing the tax implications of Code Section 409A on deferred compensation arrangements, and has advised multi-national corporations, executives and high net worth individuals on the subject matter.
Before joining Kaye Scholer, Ms. Zahn practiced at other major New York firms, and clerked for Judge Carolyn Miller Parr at the United States Tax Court. Ms. Zahn is the co-founder and President of Living Beyond Belief, a non-profit organization that fosters HIV/AIDS awareness and prevention education. Living Beyond Belief also encourages New York City public high school students to be HIV/AIDS peer educators, advocates and activists by offering college grants and recognition for life-saving work. Ms. Zahn also serves on the board and acts as general tax counsel of Bank Street Law Office, a non-profit pro bono legal assistance organization that serves elderly individuals in New York City’s Greenwich Village. Ms. Zahn was nominated as one of the top 100 pro bono legal providers in New York City for 2003.
