“Change of Control Transactions Involving Dual-Class Share Structures” (ABA 2011 Annual Meeting, Toronto, Canada)

Joel I. Greenberg, Senior Corporate Partner, spoke at the ABA 2011 Annual Meeting on August 7, 2011, on the panel titled “Change of Control Transactions Involving Dual-Class Share Structures.” Mr. Greenberg, in addition to three other panelists, provided an overview of dual-class share structures and the issues that arise in change of control transactions involving such structures, particularly transactions where a controlling stockholder uses its control position to negotiate different consideration from that to which the other stockholders are entitled.
